Terms of Agreement
NEW GENERATION CUSTOMER CONTRACT- TERMS AND CONDITIONS
1. GENERAL CONTRACT FOR SERVICES_: This Contract for Services is made
______________________________________________________, and NEW GENERATION PUBLISHING of 168 1/2 N0rth Macon Street, JESUP , GA 31545.
In this Contract, the party who is contracting to receive services
will be referred to as? The Client? and the party who will be providing
the services will be referred to as " NGP ."
2. DESCRIPTION OF SERVICES_: Beginning on , NGP
will provide to The Client the following services
_Book Publishing, Cover Design, Type setting, Book marks, Posters, ISBN.
Customer has 10,000 books. This should be done in 60-75 days.
3. EDITORAL CONTROL
If the Author HAS NOT purchased copyediting,
proofreading, or indexing services from the Publisher, the
Author acknowledges that the Publisher is not responsible
for editing the Work and has no editorial control over the
Work.
If the Author HAS purchased copyediting, proofreading,
or indexing services from the Publisher, the Author
acknowledges that he/she retains final editorial control
over the Work.
The final design and text of the Work, including any and
all changes suggested or made by the Publisher’s
copyeditors, proofreaders, and indexers, must be
approved in writing by the Author before publication.
4. PAYMENT FOR SERVICES:_ In exchange for the Services The Client
will pay NGP according to the following schedule: All up Front, unless
other arrangements have been made with the company.
5. TERM AND EXCLUSIVITY: This Agreement is nonexclusive. (The Author can enter into other publishing agreements.) Either party has the option to terminate the Agreement at any time, with or without cause. If the Agreement is terminated by the Author before the author officially signs off on their approval of work performed, publishing fees will be refunded in full ( or applied against any outstanding amounts in the Author’s account). If the agreement is terminated by New Generation Publishing due to breach by Author of this agreement, no fees shall be refunded. The Author retains the copyright for the work, and no part of this agreement diminishes the Author’s rights to the Work.
6. WORK PRODUCT OWNERSHIP_: Any copyrightable works, ideas,
discoveries, inventions, patents, products, or other information
developed in whole or in part by NGP in connection with the Services
will be the exclusive property of The Client. Upon request, NGP will
execute all documents necessary to confirm or perfect the exclusive
ownership of The Clients work or product.
7. CONFIDENTIALITY: NGP, and its employees, agents, or
representatives will not at any time or in any manner, either directly
or indirectly, use for the personal benefit of NGP, or divulge,
disclose, or communicate in any manner, any information that is
proprietary to The Client. NGP and its employees, agents, and
representatives will protect such information and treat it as strictly
confidential. This provision will continue to effective after the
termination of this Contract. Upon termination of this Contract, NGP
will return to The Client all records, notes, documentation and other
items that were used, created, or controlled by NGP during the term of
this Contract.
8. WARRANTY: NGP shall provide its services and meet its
obligations under this Contract in a timely and workmanlike manner,
using knowledge and recommendations for performing the services which
meet generally acceptable standards in NGP's community and region, and
will provide a standard of care equal to, or superior to, care used by
service providers similar to NGP on similar projects.
9. REGISTRATIONS
The Publisher will:
• Secure an International Standard Book Number
(ISBN) for the printed Work
10. ENTIRE AGREEMENT: This Contract contains the entire agreement of
the parties, and there are no other promises or conditions in any other
agreement whether oral or written concerning the subject matter of this
Contract. This Contract supersedes any prior written or oral agreements
between the parties.
11. SEVERABILITY: If any provision of this Contract will be held to
be invalid or unenforceable for any reason, the remaining provisions
will continue to be valid and enforceable. If a court finds that any
provision of this Contract is invalid or unenforceable, but that by
limiting such provision it would become valid and enforceable, then such
provision will be deemed to be written, construed, and enforced as so
limited.
12. GOVERNING LAW: This Contract shall be construed in accordance
with the laws of the State of GA.
13. NOTICE: Any notice or communication required or permitted under
this Contract shall be sufficiently given if delivered in person or by
certified mail, return receipt requested, to the address set forth in
the opening paragraph or to such other address as one party may have
furnished to the other in writing.
14. ASSIGNMENT: Neither party may assign or transfer this Contract
without the prior written consent of the non-assigning party, which
approval shall not be unreasonably withheld.
15. COPYRIGHT NOTICE
All copies of the Work that are distributed to the public
will bear a copyright notice in the name of the Author as
prescribed by the applicable copyright laws of the United
States of America.
